These Terms of Service (the "Terms") govern your access to and use of QR Factory 3, its related websites, documentation, and support services (collectively, the "Services") provided by Tunabelly Software Inc. ("Tunabelly," "we," "us," or "our"). By downloading, installing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
Your use of the QR Factory 3 application for Mac or iPad is also governed by the QR Factory 3 End User License Agreement (the "EULA"). If these Terms conflict with the EULA regarding the application, the EULA controls. QR Factory 2 and other Tunabelly products are separate products and are governed by their own applicable terms.
If you obtain QR Factory 3 through the Apple App Store, your use is also subject to Apple's applicable terms and usage rules. Apple is not responsible for providing maintenance or support for QR Factory 3 except where required by applicable law. Apple and its subsidiaries are third-party beneficiaries of the EULA and may enforce it against you.
Subject to these Terms and the EULA, you may use QR Factory 3 for personal or commercial purposes. You must use the Services lawfully and may not:
You are responsible for the data, text, links, files, and other content that you choose to encode, include in, or distribute through QR codes created with QR Factory 3. You represent that you have the necessary rights and permissions to use that content and that your use of it complies with applicable law. Tunabelly does not control, endorse, or assume responsibility for the content of QR codes you create or for third-party destinations accessed through them.
The Services, including their software, design, documentation, trademarks, and other content, are owned by Tunabelly or its licensors and are protected by applicable intellectual-property laws. Except for the limited rights expressly granted under the EULA, no rights are granted to you.
The Services may include links to, or enable access to, third-party websites or services. Those third parties are responsible for their own content, privacy practices, and terms. Your use of third-party services is at your own risk and subject to their terms.
We may update, change, suspend, or discontinue any part of the Services at any time. We do not guarantee that the Services will be available, uninterrupted, secure, or error-free at all times. We may provide updates to QR Factory 3, which may be subject to additional terms.
To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. The disclaimers and limitations of liability in the EULA apply to your use of QR Factory 3. Nothing in these Terms limits rights that cannot be excluded or limited under applicable law.
We may suspend or terminate your access to the Services if you breach these Terms or the EULA. Upon termination, you must stop using the affected Services, subject to any rights you may have under applicable law.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario for any dispute arising from these Terms, subject to any mandatory consumer-protection laws that apply to you.
We may update these Terms from time to time. The updated Terms will be posted with a revised "Last updated" date. By continuing to use the Services after the updated Terms take effect, you agree to the updated Terms, to the extent permitted by applicable law.
